WAYPAVE FRONTLINE CAREER PARTNERSHIP AGREEMENT

Effective Date: 9/9/2026 1. PURPOSE This Frontline Access Partnership Agreement (this “Agreement”) connects WayPave and the School Partner above around one shared goal: getting students and recent graduates in front of local employers through the WayPave hiring application and platform (the “Platform”). It's meant to be easy to sign and easy to use. Neither party assumes financial obligations under this Agreement. This Agreement is non-exclusive, meaning the School Partner is free to work with other job boards or hiring tools at the same time, and WayPave can sign agreements with other schools in the same area. Post-secondary institutions only (community colleges, trade schools, technical programs, universities). If any students under 18 would be covered, reach out before they get Platform access so we can sort out any additional data requirements. 2. RESPONSIBILITIES WayPave provides, at no cost:
  • Access to the Platform, where students and graduates may be onboarded through partnership channels.
  • Access to a nationwide employer network actively hiring in healthcare, manufacturing, food and beverage, hospitality and similar fields.
  • Optional co-branded materials (digital or print) for career fairs or student outreach.
  • A WayPave contact for onboarding and questions. WayPave may provide aggregate engagement summaries upon reasonable request, scoped at the time of ask.
The School Partner agrees to:
  • Share WayPave onboarding info with students through at least one channel (email, career center posting, social media, or similar).
  • Designate one staff contact as the primary liaison with WayPave.
  • Give WayPave a notice on career fairs or hiring events where WayPave’s attendance would be useful.
  • Collecting and sharing honest feedback on how students are experiencing the Platform with WayPave.
No exclusive endorsement, no participation guarantees, no ad budget required. 3. DATA AND PRIVACY
  • WayPave does not access, receive, or process student educational records as defined under FERPA. Any data shared between the parties is limited to information students voluntarily provide through the platform.
  • Student data is governed by WayPave's Privacy Policy at waypave.com/privacy. If your legal team has questions, your WayPave contact is the right starting point.
  • WayPave will not share individually identifiable student data with any third party without explicit student consent. Any aggregate reporting provided to the School Partner will not identify individual students.
4. TERM AND TERMINATION This Agreement starts on the latest Effective Date signed below and runs for one year, then renews automatically each year for successive 1-year periods. Either side can end it at any time with 30 days written notice by email, no explanation needed. No fees, no penalties. After termination, WayPave will stop using the School Partner's name and logo in new materials within 30 days. 5. INTELLECTUAL PROPERTY Both sides keep ownership of their own brands and IP, and any derivatives created under this Agreement. Each party grants the other a limited, non-exclusive, fully-paid, non-sublicensable license to use their name and approved marks only in connection with this Agreement. Either party may modify or terminate the license with written notice to the other party. Upon termination of this Agreement or the license granted here, each party will return any and all materials, containing the brands and IP of the other party, to the other party. Any materials containing the brands and IP of both parties will be destroyed, or otherwise prohibited from further commercial and promotional use unless approved by both parties. 6. PUBLIC REFERENCE CLAUSE Each party may publicly reference the existence of this partnership, including using the other party's name and approved logo on websites, in investor and stakeholder communications, and in press materials, subject to the IP terms in Section 5. 7. LIMITATION OF LIABILITY WayPave provides access to the Platform on an "as-is" basis. Access to and use of the Platform: (a) may be limited from time-to-time, either as a whole or on a user-to-user level, for updates, maintenance, repairs, and in connection with any detected unauthorized use, (b) will be subject to additional terms between WayPave and each user, including, without limitation, WayPave’s Terms of Use, found at waypave.com/terms-of-use, and (c) does not guarantee any particular outcome for the School Partner, their students, or their graduates. Neither party is liable to the other for indirect, incidental, or consequential damages connected to this Agreement. This Agreement does not create an employment, agency, or joint venture relationship between the parties. This Agreement does not include a mutual indemnification clause by default — if a school's legal team requests it, WayPave will work through that ask during the signing process. 8. GENERAL This Agreement is the whole deal between the parties on this topic and replaces any earlier conversations or drafts. Changes need to be in writing and signed by both sides. Governed by the laws of the State of Arkansas.
